Meta issues non-voting Class C shares to keep Zuckerberg in California and fund AI

Meta announced a board-approved plan on 22 October to issue non-voting Class C shares that CEO Mark Zuckerberg can sell to fund a potential California billionaire wealth-tax bill, while committing to remain a state resident for eight years, according to CBS News. The announcement followed Meta’s third-quarter earnings release on 14 October, where the company reported $63. 3 billion in revenue and earnings of $3.

56 per share, and highlighted strong growth for its Muse AI agent, as noted by Yahoo Finance. Earlier in the week, Meta said it would create a new class of non-voting stock to finance AI expansion without diluting Zuckerberg’s voting control, a plan reported by Semafor and detailed by Reuters and Fortune. Fox News added that the stock fell about 3% after the share-class launch was disclosed.

It’s interesting how Meta’s financial moves mostly shuffle paper to protect Zuckerberg’s tax position, while the real costs of AI infrastructure hit the company’s bottom line. Meanwhile, everyday workers and users will likely feel the pinch long before any billionaire wealth tax actually changes anything on the ground.
