Skydance finalizes acquisition of Warner Bros. Discovery, forming new media conglomerate

Resumen

David Ellison’s Skydance has closed a deal to acquire Warner Bros. Discovery, creating a combined entity that will operate under the Skydance name and inherit roughly $80 billion of debt.

Skydance, the production company owned by David Ellison, completed its purchase of Warner Bros. Discovery on Tuesday, merging the two studios into a single entity that will operate under the Skydance brand. The transaction, valued at about $43-$50 billion, adds roughly $80 billion of debt to the combined company, which will be managed by co-CEO Ynon Kreiz and CEO David Ellison.

The new conglomerate will eventually integrate the streaming services of Paramount and HBO, though immediate rebranding is not expected. Current brands such as Warner Bros., Paramount and HBO are likely to remain visible to consumers while the companies consolidate operations and seek $6 billion in cost synergies over the next three years, primarily through layoffs and asset sales.

Regulatory approval required the company to commit to producing at least 30 films per year, rising to 32, with penalties for non-compliance. The deal also involved a 49 percent stake in Miramax, which could be sold if production targets are not met.

Industry observers note that previous owners—including AOL, AT&T and Warner’s former CEO David Zaslav—failed to generate sustainable growth, relying mainly on cost cuts. Ellison’s backing from his father, Oracle founder Larry Ellellson, provides substantial financial support, though the reliance on debt raises concerns about the company’s ability to service its obligations.

Analysts highlight the broader challenges facing legacy studios, such as competition from user-generated content platforms and the impact of artificial-intelligence tools on intellectual-property value. The integration of Skydance’s existing library with emerging technologies remains uncertain, and the company’s long-term revenue strategy has not been publicly detailed.
