Industry Pushback and State Lawsuit Extend Paramount-Warner Merger Delay

Talent agent Ari Emanuel argued in a Wall Street Journal op-ed that the antitrust lawsuit filed by twelve state attorneys general threatens competition and could further delay the $111 billion Paramount-Warner Bros. Discovery merger, Variety reported. The same outlet noted that Warner Bros. Discovery executives said they welcomed the lawsuit because it could stall the deal, while SAG-AFTRA’s board adopted a resolution demanding production safeguards before the merger could proceed, as reported by The Hollywood Reporter. Paramount’s chief executive David Ellison told staff the transaction remains on track despite the legal challenges, and the company’s stock fell after a court-ordered postponement, Deadline said.

A federal judge later extended the temporary restraining order halting the merger until August 18 and set a hearing for August 3, and in June the companies agreed to keep the merger frozen at least until June 2027, according to Variety and The New York Times. The restraining order, first issued in late July, followed a coalition of twelve states that had sought a preliminary injunction and a temporary halt, and earlier the Writers Guild of America and other industry groups filed separate lawsuits to block the deal. The legal battle began in July 2026 when California Attorney General Rob Bonta and eleven other state attorneys general filed an antitrust suit seeking a preliminary injunction. The states later asked for a temporary restraining order, which a judge granted, pausing the merger. Oregon’s attorney general briefly sought a 60-day delay before withdrawing the request.
