The deal, which Kroger’s board approved unanimously, is slated to close in 2027 subject to regulatory clearance.

Kroger CEO Greg Foran described Giant Eagle as a "well-run, high-quality regional grocer" and noted that the acquisition expands Kroper’s reach into adjacent markets and aligns with its existing strengths, including the Advantage Care loyalty program, pharmacy operations and private-label offerings. He said the combined company sees opportunities to accelerate growth both in-store and online and to create long-term value for shareholders.

Giant Eagle CEO Bill Artman called the transaction an "exciting next chapter" for employees, customers and community partners, saying it will enable the combined grocer to deliver a better shopping experience. Kroger’s vice-president of communications Erin Rolfe said the stores will retain the Giant Eagle name and banner, and the company does not anticipate any store closures or reductions in frontline staff.

Giant Eagle, which generates roughly $9 billion in annual sales, has operated in western Pennsylvania for nearly a century. The acquisition marks Kroger’s re-entry into a market it left in the mid-1980s.
