Fox to Acquire Roku in $22 Billion Deal

सारांश

Fox Corp. announced a $22 billion acquisition of Roku, creating a combined entity that would rank among the largest U.S. streaming and broadcast players, while Fox shares fell sharply after the announcement.

Fox Corp. said on Monday it will purchase streaming platform Roku for $22 billion, adding the hardware maker and its ad-supported Roku Channel to Fox’s portfolio of broadcast networks, sports rights and the Tubi streaming service. The announcement sent Fox’s stock down 16 percent on the first day, reaching a 52-week low, with a further 4 percent decline the following day.

"We view this as a strategic fit. Fox marries its strong content with Roku's leading distribution platform and first-party data that add scale and can enhance the value proposition with advertisers," wrote Piper Sandler analyst Thomas Champion. He noted that Fox’s sports assets and Roku’s position as a top streaming platform are "highly complementary" and that the merged company would become the third-largest U.S. viewer by share across broadcast, cable, local and streaming.

Analysts said the market reaction may reflect concerns about the new debt Fox will assume, although the company’s leverage is expected to remain modest after the deal closes in the first half of next year. Some observers pointed to potential additional spending by Fox on upcoming NFL media-rights negotiations.

Forrester research director Mike Proulx told CNBC that short-term market moves often penalise large media deals because of uncertainty, but emphasized the long-term strategic value of owning a distribution platform, data and advertising infrastructure.

Industry analysts described the transaction as an unexpected strategic shift for Fox, which has previously avoided large acquisitions since divesting its entertainment assets to Disney in 2019. The combined entity would place Fox ahead of Disney’s streaming services in viewership share, according to MoffettNathanson, and could strengthen Fox’s position in future premium sports-rights bidding and carriage negotiations.

Roku, whose shares have risen sharply this year, would gain access to Fox’s high-rated sports and news content, potentially boosting engagement and advertising revenue. However, some analysts noted risks related to broader industry consolidation and competition from smart-TV manufacturers such as Walmart’s recent acquisition of Vizio.
