Paramount Initiates Hostile Takeover Bid for Warner Bros. Discovery
Paramount has launched a hostile takeover bid for Warner Bros. Discovery, offering $30 per share in cash, surpassing Netflix's previous offer.
Paramount has initiated a hostile takeover bid for Warner Bros. Discovery (WBD), presenting an all-cash offer of $30 per share directly to WBD shareholders. This proposal exceeds Netflix's earlier bid of $27.75 per share, which included a combination of cash and stock.
David Ellison, CEO of Paramount, criticized the WBD Board's preference for Netflix's offer, stating that it is based on an "illusory prospective valuation of Global Networks that is unsupported by the business fundamentals and encumbered by high levels of financial leverage assigned to the entity."
Ellison emphasized that Paramount's bid provides "superior value, and a more certain and quicker path to completion." He also highlighted the potential benefits for the creative community, consumers, and the movie theater industry, suggesting that the acquisition would lead to enhanced competition and increased content production.
The tender offer is set at $30 per share in cash, contrasting with Netflix's $27.75 offer, which comprises both cash and stock components. Netflix's proposal focuses on acquiring WBD's streaming and studios divisions, whereas Paramount aims to acquire the entire company, including its linear cable networks.
Paramount has also launched a website titled "StrongerHollywood" to outline its offer and argue for the advantages of its proposal over Netflix's. The company asserts that its acquisition would create a "stronger Hollywood" by fostering enhanced competition and increased content production.
This development sets the stage for a competitive bidding process, with WBD shareholders now presented with multiple acquisition offers to consider.
