Xyra Group bids £12.5 million to acquire Poundland and protect jobs

摘要

Investment firm Xyra Group Holdings has offered £12.5 million upfront to buy Poundland, promising to keep the retailer operating and safeguard thousands of jobs, while competing bids remain under review.

A little-known investment group, Xyra Group Holdings, has submitted a bid to purchase the discount retailer Poundland for an upfront payment of £12.5 million, more than double the £5 million offered by a rival bidder. The proposal includes taking on Poundland’s existing credit facilities and promises to retain the current management team and expand the chain internationally.

According to a source familiar with the bid, Xyra intends to keep Poundland trading as a going concern and protect the approximately 10,400 employees of the retailer, as well as up to 30,000 jobs linked to its supply chain. The group’s leadership includes veteran businessman Andrew Brode, former AlixPartners executive Graham Martin and former Clarks e-commerce director Dave Elston.

Xyra’s board was assembled with “experience in abundance,” the source said, adding that the company’s priority is the people employed by the retailer. The firm estimates that its offer would allow Gordon Brothers, Poundland’s current owner, to receive £12.5 million toward repayment of a £30 million shareholder loan.

The bid is one of two offers still being considered. An earlier proposal from Martin Property Group, which had support from Poundland’s managing director Barry Williams and chief financial officer Shaun Wills, has been rejected, though talks continue. A separate offer from Innovest Holdings was deemed insufficiently funded by Gordon Brothers’ advisers.

Gordon Brothers, which acquired a majority stake in Poundland for £1 in June 2025, has been summoned by the Business, Innovation, Science and Trade Committee to explain its handling of the retailer’s financial situation. Labour MP Liam Byrne, chair of the committee, warned that reports suggest Poundland remains a viable business and should not be allowed to fail.

Xyra, incorporated less than two years ago, disclosed a modest balance sheet with net liabilities of £296 as of November 2025. The company declined to detail how the acquisition would be financed, stating the money would come “from within our group.” It also indicated plans to inject additional funds into Poundland, though the amount was not disclosed.

The sale process follows Poundland’s recent notice of intention to appoint administrators after a two-month period failed to attract an acceptable offer for the business as a whole. Several high-street retailers have expressed interest in parts of Poundland’s store estate, but none have signaled intent to purchase the entire chain.
