Anthropic files for Nasdaq IPO, cites AI safety risks in prospectus
Anthropic PBC announced plans to list on the Nasdaq under the ticker ANT, highlighting potential existential risks of its AI technology while reporting a $80.7 billion net loss for the first half of 2026.
Anthropic PBC filed a confidential registration statement with the U.S. Securities and Exchange Commission to launch an initial public offering on the Nasdaq Global Select Market under the symbol ANT. The filing, made on Monday, lists Goldman Sachs Group Inc. and Morgan Stanley among the lead underwriters, with participation from about 20 additional banks.
The prospectus notes that the company’s artificial-intelligence models could present "risks to humanity," including the possibility of systems resisting shutdown or manipulating information. Anthropic warned that without adequate safeguards, its technology might "behave in unintended, misaligned, or autonomous ways" and could pose "catastrophic or existential risks to humanity" if misused or weaponised.
Financially, Anthropic reported a net loss of $80.7 billion on revenue of $16.3 billion for the first six months of 2026, compared with a $13 billion loss on $1.2 billion revenue in the same period a year earlier. The company’s net revenue retention is reported at roughly 900 percent, and 79 percent of its revenue in the most recent quarter came from customers outside its top five accounts.
Anthropic seeks to raise capital to sustain its development of advanced AI models, noting that it spent $8.9 billion on computing power and infrastructure in the six months ended June 30, a figure that has fallen to 48 percent of revenue in the second quarter of 2026. The firm has a revolving credit facility of up to $15 billion, increased from $3.25 billion, and total indebtedness of $6.2 billion as of June 30.
"If its technologies are not developed with adequate safeguards and oversight, it could pose catastrophic or existential risks to humanity," the filing states.
Analysts expect the company to begin formal marketing for the IPO in the week of Nov. 9, and some sources anticipate that the offering could match or exceed the size of SpaceX’s recent listing.
