Paramount and Warner Bros. Discovery pursue merger amid legal challenges and job loss concerns

摘要

Paramount Global and Warner Bros. Discovery are advancing a merger that could create the largest U.S. film and television studio, while state attorneys general and the Writers Guild of America have filed lawsuits alleging antitrust violations and potential job cuts.

Paramount Global and Warner Bros. Discovery are moving forward with a merger that would combine two of the United States' largest film and television studios. The companies say the deal will increase competition, boost output and create jobs for consumers. > "Once you look at it, it’s incredibly pro-competitive. It increases output, it increases jobs, and it lowers the cost to the consumers," said Makan Delrahim, Paramount’s chief legal officer, in an interview with the Los Angeles Times.

State attorneys general in California and 10 other states have filed suit to block the transaction, arguing that it would reduce competition and lead to significant job losses. A report from the Los Angeles County Department of Economic Opportunity estimated that the merger could eliminate about 6,000 positions, including roughly 2,500 in Los Angeles County. The Writers Guild of America has also sued, contending that the combined entity would become the largest purchaser of original film and television programming in the country, potentially diminishing competition.

The merger is under review by U.S. federal regulators and the European Union, which has expressed skepticism and could delay the planned September closing date. Meanwhile, Tennessee officials have reached out to Paramount’s chief executive, suggesting the state’s business environment could be attractive for relocation, though company representatives have indicated that all options remain under consideration.

Analysts note that both Paramount and Warner Bros. Discovery carry substantial debt and own cable assets that are losing value as consumers shift away from traditional television. The outcome of the merger and related legal actions will likely shape the structure of the entertainment industry and its employment landscape in the coming years.
