Netflix Withdraws from Warner Bros. Discovery Acquisition Battle
Warner Bros. Discovery received multiple acquisition bids from Netflix, Paramount Skydance, and Comcast, with each proposing different deal structures. Initially, Netflix led with a high bid for the studio and streaming assets, valuing them at about $28 per share. Paramount then launched a hostile takeover bid, offering $30 per share in cash and raising its breakup fee to $5 billion, signaling confidence in regulatory approval. Paramount also challenged the fairness of the sale process, alleging favoritism towards Netflix, while Netflix's CEO expressed confidence in completing the acquisition despite Paramount's competing offer. Later, Paramount's bid faced financing challenges when Affinity Partners withdrew support, but Oracle co-founder Larry Ellison pledged $40.
4 billion to back the offer. Warner Bros. Discovery's board rejected Paramount's $108. 4 billion hostile takeover bid, citing financing concerns, and recommended shareholders approve Netflix's $72 billion acquisition deal. Subsequently, Netflix withdrew its pursuit, opting not to match Paramount's higher bid, effectively allowing Paramount to proceed with the acquisition. The acquisition battle drew regulatory and political scrutiny, including calls for antitrust review recusal.
