"The massive size of the SpaceX IPO alone, under normal circumstances, would justify careful SEC review and attention to investor needs," Warren wrote, adding that "these are not normal circumstances" and that additional factors require action to protect market integrity.

Warren expressed concern that recent adjustments by major stock-market indexes could compel retail investors in index funds to hold SpaceX shares without choice, exposing them to the company's significant risks. She also highlighted the company's projected valuation of about $1.77 trillion, noting that it relies on what she described as "numerous leaps of faith" and a governance structure that gives CEO Elon Musk extensive authority.

The SEC confirmed receipt of the letter but declined further comment. Nasdaq’s rule changes, finalized in May, allow fast entry for large IPOs, while the S&P 500 and Russell 1000 have considered similar adjustments. However, the S&P and Dow Jones committees recently said they would not alter inclusion rules to fast-track SpaceX.

Analysts note that the IPO would be the largest in history, occurring alongside upcoming offerings from AI firms Anthropic and OpenAI. SpaceX did not immediately respond to requests for comment.
