SEC Proposes Optional Semiannual Reporting for Public Companies

Summary

The SEC has proposed amendments allowing public companies to opt for semiannual financial reporting instead of the current quarterly requirement.

The U.S. Securities and Exchange Commission (SEC) has proposed amendments that would permit public companies to file financial reports semiannually, replacing the existing quarterly reporting mandate. This initiative introduces a new Form 10-S, allowing companies to submit two reports per fiscal year instead of the traditional three quarterly reports and one annual report.

SEC Chairman Paul S. Atkins stated that the current rigid reporting rules have prevented companies and investors from determining the interim reporting frequency that best serves their business needs.

The proposal is now open for a 60-day public comment period. Following this, the SEC will review the feedback before deciding on the adoption of the amendments.
