Warner Bros. Discovery Reviews Strategic Options Amid Unsolicited Interest

Summary

Warner Bros. Discovery is evaluating strategic alternatives, including potential sales or restructuring, following unsolicited interest from multiple parties.

Warner Bros. Discovery (WBD) has announced a review of strategic alternatives in response to unsolicited interest from multiple parties for the entire company and its Warner Bros. division. The board will consider options such as completing the planned separation into two entities by mid-2026, selling the entire company, or divesting Warner Bros. and/or Discovery Global businesses. An alternative structure involving a merger of Warner Bros. and a spin-off of Discovery Global to shareholders is also under consideration.

"We continue to make important strides to position our business to succeed in today's evolving media landscape by advancing our strategic initiatives, returning our studios to industry leadership, and scaling HBO Max globally," said David Zaslav, President and CEO of Warner Bros. Discovery. "It's no surprise that the significant value of our portfolio is receiving increased recognition by others in the market. After receiving interest from multiple parties, we have initiated a comprehensive review of strategic alternatives to identify the best path forward to unlock the full value of our assets."

"Our decision to initiate this review underscores the Board's commitment to considering all opportunities to determine the best value for our shareholders," added Samuel A. Di Piazza, Jr., Chair of the Warner Bros. Discovery Board of Directors. "We continue to believe that our planned separation to create two distinct, leading media companies will create compelling value. That said, we determined taking these actions to broaden our scope is in the best interest of shareholders."

The company has not set a definitive timetable for the completion of this review and does not guarantee that it will result in any transaction. Warner Bros. Discovery will not make further announcements regarding the review unless the Board approves a specific transaction or deems further disclosure necessary.

Financial advisors Allen & Company, J.P. Morgan, and Evercore, along with legal counsel from Wachtell Lipton, Rosen & Katz and Debevoise & Plimpton LLP, are assisting in the review process.

Following the announcement, WBD's stock experienced a significant increase, reflecting investor interest in the company's strategic direction. Analysts suggest that exploring strategic alternatives, such as asset sales, restructuring, or mergers, could create more shareholder value compared to the current structure.

Warner Bros. Discovery continues to navigate the evolving media landscape, focusing on maximizing shareholder value through strategic initiatives and potential restructuring.
