Fox Corp. and Roku Shareholders Approve $22 Billion Acquisition
Shareholders of Fox Corp. and Roku voted overwhelmingly to approve Fox's $22 billion purchase of the streaming platform, with the deal slated for completion in early 2027 pending regulatory clearance.
Shareholders of both Fox Corp. and Roku voted to approve Fox's proposed $22 billion acquisition of the streaming-video platform. At separate special meetings on Wednesday, the vast majority of votes cast by holders of Fox Class B common stock and Roku investors were in favor of the transaction. Fox reported that 99.9% of the votes from its Class B shareholders supported the deal, with 197.4 million shares voting for, 71,891 against and 45,001 abstaining. Roku’s vote tally is expected to be filed with the SEC shortly.
The agreement, announced in June, calls for a purchase price of $160 per Roku share, consisting of roughly $14.2 billion in cash and the balance in Fox Class A common stock. Fox expects the acquisition to close in the first half of calendar year 2027, subject to approval by the Justice Department and other regulators. The Justice Department recently issued a second request for information, extending the Hart-Scott-Rodino waiting period by 30 days.
"The Roku acquisition will transform the scope of our company into high-growth verticals and yield a step change in our overall growth profile," Fox Corp. CEO Lachlan Murdoch said when the deal was announced.
Fox added that it remains "committed to continuing to operate Roku as an open, partner-friendly platform," and Roku founder and CEO Anthony Wood will retain an ongoing role within the combined company.
